Why Wyoming

Wyoming is the state we recommend by default, and the one most of our founders pick. The reasons are boring, which is the point. There is no state income tax and no franchise tax, so the LLC owes Wyoming nothing beyond its annual report. Members and managers are not listed on the public record: the Secretary of State publishes the company name and the registered agent, not the people behind it. The annual report is $60 minimum, due on the first day of your anniversary month, and takes about five minutes.

How Much Does a Wyoming LLC Cost?

Two numbers belong to the government and do not change whoever files for you: the state filing fee is $100, and the annual report is $60 minimum. Everything else is a service fee. Wyoming LLC for Non-Residents

Wyoming does not care where you live. You do not need a US address, an SSN or a visit: the registered office we provide is the company's address, and we file everything online. The EIN is included. If you have an SSN or ITIN it arrives in days; if not, we apply by fax and the IRS usually takes 4 to 8 weeks, which is the one part of the process nobody can speed up.

One compliance point matters. A foreign-owned single-member LLC must file Form 5472 with a pro forma 1120 every year, even with no US income, and the penalty for missing it is steep. Wyoming LLC as a Holding Company

A lot of our Wyoming formations never trade at all. They hold things: a crypto treasury, the IP behind a protocol, a domain portfolio, or the membership interests in operating companies elsewhere. Wyoming suits this well. The members are off the public record, there is no state tax on what the LLC holds or earns, charging-order protection applies to single-member LLCs as well as multi-member ones, and the $60 annual report is the entire upkeep.
