When Delaware Is the Right Call

Delaware is the default home of venture-backed companies, and that is the main reason to pick it. If investors, accelerators or a law firm have told you to be in Delaware, be in Delaware. They expect it and their documents are drafted for it.

The reasons they expect it are real. The Court of Chancery is a specialist business court with judges rather than juries, and two centuries of settled case law mean a lawyer can tell you how a dispute is likely to go before it starts. Delaware LLC law is also unusually flexible about how you structure ownership, voting and profit splits, which matters once more than one founder or an investor is in the picture.

The other reason is the exit ramp. A Delaware LLC converts into a Delaware C-corp cleanly when it is time to raise a priced round or issue stock options, without redomiciling first. How Much Does a Delaware LLC Cost?

What is not included, because it cannot be, is the Delaware franchise tax. Every Delaware LLC owes the state a flat $400 a year, due by 1 June, starting the year after formation. It is paid to the State of Delaware, not to us, and we remind you before it is due.

Delaware LLC Tax: What You Actually Owe

At the state level, Delaware does not tax LLC income earned outside Delaware. If your company has no Delaware office, employees or customers, there is no Delaware income tax return to file. The only state obligation is the $400 franchise tax, which is flat: it does not rise with revenue, and it is the same whether you made nothing or made millions.

Federally, an LLC is pass-through by default. A single-member LLC is disregarded for tax purposes and its profits land on the owner's return; a multi-member LLC files a partnership return. You can elect C-corp or S-corp treatment later if it makes sense.

If you are a non-resident and your LLC has a single foreign owner, the IRS treats it as a reporting entity. You file Form 5472 with a pro-forma Form 1120 every year, even if the company did nothing, and the penalty for missing it starts at $25,000. Delaware LLC for Non-Residents

You do not need to be a US citizen, a US resident or to hold a Social Security Number to own a Delaware LLC, and you do not need a US address: the registered office we provide is the address the state wants. The whole formation is done online, and you never set foot in the States.

The EIN is included either way. If you have an SSN or an ITIN, the IRS issues it in days. If you do not, we file by fax on your behalf and the IRS takes four to eight weeks to issue it, which is the slowest part of the whole process and not something any provider can speed up. We tell you that up front rather than after you have paid.

How Delaware LLC Registration Works

There is no separate Delaware LLC application form to hunt for: the Certificate of Formation is the filing, and we prepare it. The process looks like this.

How much does a Delaware LLC cost?

What is the Delaware franchise tax?

It is a flat $400 a year that every Delaware LLC owes the state simply for existing, regardless of revenue or activity. Should I form a Delaware LLC or a Delaware C-corp?

If you are raising venture capital, issuing stock options or planning a priced round in the next year, form the C-corp now: investors and option plans are built for Delaware corporations. If you are earning revenue, holding assets or running a small team without outside investors, the LLC is simpler, pass-through for tax, and converts to a C-corp later when you need it. We form both.

What happens after year one?

Nothing auto-renews. About a month before your anniversary we invoice Registered Agent and Compliance at $199 a year, which keeps your agent and office in place, reminds you of the franchise tax and Form 5472 deadlines, and covers filing support.
