What a Registered Agent Does

Wyoming law requires every LLC and corporation registered in the state to keep a registered agent: a person or company with a physical Wyoming street address, open during normal business hours, who can receive service of process and official notices from the Secretary of State on the company's behalf. A PO box does not qualify, and neither does an address nobody is at.

The agent is the state's way of knowing where to find your company. If someone sues the company, the papers go to the agent. If the state needs to tell you an annual report is due, or that something is wrong with a filing, the notice goes to the agent. A commercial registered agent in Wyoming does this for many companies at once, which is why it costs $100 a year rather than the price of an office.

The same rules apply in Delaware, and our Delaware registered agent works the same way for the same price.
Registered Agent Service Includes

What's Included for $100

One payment covers a registered agent and a registered office address in Wyoming for a full year. Official mail and state notices are scanned and forwarded to you by email, we remind you when the annual report is coming due, and if you have a question there is a real person to ask, not a ticket queue. It works for LLCs and corporations alike, whether we formed the company or someone else did. A Delaware registered agent is the same $100.

Registered Agent

A Wyoming commercial registered agent listed on your company's public record, at a staffed street address, available in business hours to accept service of process.

Registered Office Address

A real street address in Wyoming for the state's records. Our address goes on file, not your home, and it is not a PO box.

Mail Scan & Forward

Official mail arriving at the registered office is opened, scanned and emailed to you, wherever you are in the world.

State Notices

Anything the Secretary of State sends your company, we pass on to you promptly, with a plain-English note on what it means and what to do.

Annual Report Reminders

We tell you before your Wyoming or Delaware annual report is due, so the company stays in good standing and you are never surprised.

A Real Person

A question about a notice, a lawsuit or a deadline? Ask us on Telegram or by email and get an answer from someone who knows your file.

Who This Is For

You already have a Wyoming or Delaware company and your current agent is expensive, unresponsive or about to lapse. Plenty of agents quote a low first-year price and then renew at several times that, or quietly add fees for scanning mail that was always part of the job. If a renewal notice has just landed and the number looks wrong, this is the fix.

You formed the company yourself and used your own name and address as the agent, and you would now rather have a company at that address so your details come off the public record and someone is reliably there to receive mail.

You are a non-resident and need a US address for the state. Wyoming and Delaware both welcome foreign owners, but both still require a physical in-state agent. If you run a US LLC as a non-resident, this is the one piece you cannot do from abroad.

How to Switch Your Registered Agent

Changing registered agent in Wyoming or Delaware is a short filing, and we handle the paperwork. Pay for the year, tell us the company name and the state, and we prepare the change-of-agent filing with our details already on it for you to sign. You sign, we file, and the state processes it quickly. Once the new agent is on record, your old agent is released and has nothing further to do with your company.

You do not need to wait for your current agent's year to run out, and you do not need their permission. If you are mid-term with someone else, switch when you are ready and let the old subscription lapse.

Not Formed Yet? Start With Us Instead

If you have not formed the company yet, you do not need this page. Every Spindipper formation already includes the registered agent and registered office for year one, along with the state filing fee, your EIN, an operating agreement and mail scanning. A Wyoming LLC is $299 and a Delaware LLC is $349, and you can pay in crypto or by card. Buying the agent on its own only makes sense when the company already exists.

Privacy

Wyoming's public business records show the registered agent's name and address, not the owner's. With our service, our address goes on the public record, not yours. Your home or office stays off the Secretary of State's website, process servers come to us rather than to your front door, and the mail that does arrive is scanned to you privately. Delaware works the same way.

Registered Agent Pricing

One product, one price. $100 covers your registered agent and registered office for a full year, in Wyoming or Delaware, with mail scanning and state notices included. Pay by card or in your preferred cryptocurrency and we will be in touch to collect the company details and prepare the change-of-agent filing.

Nothing auto-renews. You pay for one year up front, and we invoice the next year a month before it is due. Pay it and we carry on; ignore it and nothing is charged. This $100 product is the agent and address only. Companies we form renew on our Registered Agent & Compliance plan at $199 a year, which bundles the agent with annual report reminders and filing support. If you would rather have that, ask us.

Straight With You

We are a registered agent, not a law firm. We receive your official mail and pass it on, we remind you about deadlines, and we will tell you plainly what a notice means and what you need to do about it. We do not practise law or give tax advice, and we do not file your annual report unless you ask us to. If the state sends something that needs a lawyer, we will say so.

What you get for $100 is an agent that is actually there, mail that actually reaches you, and a renewal that does not jump in price the moment you stop paying attention.

Frequently Asked Questions

If you have a question that we have not answered, please get in touch!
‍

Do I need a registered agent in Wyoming?

Yes. Wyoming law requires every LLC and corporation registered in the state to keep a registered agent with a physical Wyoming street address, available during business hours to receive service of process and official notices. The requirement applies whether you live in Wyoming, elsewhere in the US or abroad, and it never goes away while the company exists.

Can I be my own registered agent in Wyoming?

Only if you have a physical Wyoming street address that is staffed during normal business hours. A PO box, a mail drop or a home nobody is at during the day does not qualify. If you live outside Wyoming, or you would rather keep your own address off the public record, a commercial registered agent is the practical answer.

What happens if my company has no registered agent?

The state can administratively dissolve the company. If your agent resigns or lapses and no replacement is filed, Wyoming treats the company as out of compliance: it loses good standing, misses notices and is eventually dissolved. A lawsuit can also proceed without your knowledge because nobody was there to accept the papers. Appointing a new agent promptly fixes this.

How do I change my registered agent?

Pay for the year and tell us the company name and the state. We prepare the change-of-agent filing with our details on it, you sign it, and we file it with the state, which processes it quickly. Your old agent is then released. You do not need their permission and you do not have to wait until their term ends.

Does this include filing my annual report?

No. The $100 service reminds you when the annual report is due, but filing it is not included. If you want us to handle the filing, the Registered Agent and Compliance plan at $199 a year bundles the agent, annual report reminders and filing support, or you can simply ask us when the report comes due.

Do you offer a Delaware registered agent?

Yes, for the same $100 a year. Delaware requires every LLC and corporation to keep a registered agent with a physical Delaware address, and our Delaware service works exactly like the Wyoming one: registered office address, mail scanned and forwarded, state notices passed on, annual report reminders. Pick Delaware in the checkout box.

What happens at renewal?

A month before your year is up we send an invoice for the next year at the same $100. Pay it and the agent continues without interruption. Nothing is charged automatically. If you decide to move on, tell us and we will explain what the state needs from you to appoint a replacement so the company does not lapse.
